Referral Terms & Conditions

By participating in the UNest Referral Program, you are agreeing to the following:

Definitions

When the following capitalized terms are used above or below in this Agreement, the following definitions apply:

Act means the Investment Advisers Act of 1940, as amended. The Act is in the U.S. Code at 15 U.S.C. §§80b-1.

Brochure means the Wrap Fee Program Brochure that UNest files with the SEC on Part 2A of Form ADV and is available at: https://adviserinfo.sec.gov/

Custodian refers to the financial institution that is holding your securities.

Initial Shares means the shares that are purchased and held at Custodian, that a Referred Client purchases with the Minimum Amount.

Minimum Amount refers to the minimum amount you must deposit in order to open a UNest account. UNest requires referred client to enroll in a recurring plan with at least $25 in securities purchased per month.

Potential New Client means an individual (i) whom a Referring Client invites to open an UNest Account and (ii) who has never opened an UNest Account before being invited by the Referring Client to open a UNest Account.

Referral means the invitation of a Potential New Client to open a UNest Account by a Referring Client using the links UNest provides in the Application for Referrals.

Referring Client means a client of UNest who has entered into the Advisor Agreement and decides to make Referrals. In addition, this agreement uses the terms “you,” “your” or “yours” to mean a Referring Client or a Referring Client’s.

Reward Amount means the referral incentive amount as indicated in the relevant referral promotion.

Reward Date means the date when UNest credits Reward Shares earned by a Referring Client in accordance with the terms and conditions of this Agreement to the Referring Client’s UNest Account.

Reward Shares are shares earned when a Referred Client enters into an Advisor Agreement with UNest and deposits the Minimum Amount into their UNest account.

Rules means the SEC’s rules under the Act. The SEC’s rules under the Act are in the Code of Federal Regulations at 17 C.F.R. Part 275.

The UNest referral program is open to all United States legal residents or citizens that currently reside in the United States. Exceptions are made for active Armed Services personnel that maintain a U.S. address and are temporarily overseas in connection with their service.

U-Nest Holdings, Inc. (“UNest”) is an investment adviser registered with the U.S. Securities and Exchange Commission. Referring Client means an investment advisory client of UNest who has entered into the UNest Advisor Agreement and decides to make referrals. In addition, this agreement uses the terms “you,” “your” or “yours” to refer to a Referring Client.

This Agreement is by and among UNest and each Referring Client subject to the terms and conditions of this Agreement.

By participating in the UNest Referral Program, you acknowledge and agree that you are a Referring Client and that you will have the rights of a Referring Client under this Agreement and be bound by the terms and conditions of this Agreement, including without limitation all of a Referring Client’s obligations, duties, covenants, undertakings, representations and warranties below. This Agreement contains a pre-dispute arbitration in Section 9.

Reward Shares for Referrals

After each Referred Client you invited to open a UNest Account deposit the minimum amount of $25 and maintains the Initial Shares in an UNest Account for the minimum time of 30 days, UNest will credit your UNest Account with the amounts and types of Reward Shares that correspond to your Selected Portfolio and are collectively worth the Reward Amount at the timeshares are purchased on the Reward Date. You acknowledge and agree that, notwithstanding anything else in this Agreement or the Advisor Agreement, you shall not be entitled to any Reward Shares for a Referral (i) unless and until the Potential New Client is accepted as a Referred Client; (ii) unless and until the Referred Client invests the minimum amount of $25 and maintains the Initial Shares in his or her UNest Account for at least the minimum time of 30 days; (iii) if UNest determines at its sole discretion that you have breached any term, condition, obligation, duty, covenant, undertaking, representation or warranty in this Agreement (see Section 3 below on Compliance; and (iv) unless you invite a client using the links UNest provides in the Application for Referrals. UNest, at its sole discretion, may make available certain promotions with different Reward Amounts to other UNest users or prospective users. These promotions, unless offered to you, shall have no bearing whatsoever on your Agreement or relationship with UNest.

Compliance

In connection with your participation in the Referral Program, you agree to the restrictions listed below.

No spam – You agree that you will not “spam” anyone with Referrals to join UNest either by mass emailing, use of automated systems, bots or automatic dialers and to not post Referral links on websites or events or venue pages without express consent from the owner. You agree to not engage in any device or scheme that results in “spam.”
No misrepresentations – You agree that you will not attempt to mislead anyone in connection with the Referral Program. This includes, but is not limited to, creating fake accounts, profiles, links or messages.
No prohibited content – You agree that you will not use any defamatory, offensive, abusive or obscene content in connection with UNest. This includes, but is not limited to, content that violates someone else’s privacy or harassing content.
No fraudulent activity – You agree not to defraud or abuse, or attempt to defraud or abuse, anyone in connection with the Referral Program. You agree to not engage in any activity that may be fraudulent, deceptive or manipulative.
No misuse of UNest’s content – You agree not to sell UNest Referral links or create websites, email addresses or social media with UNest’s name, images or content. UNest’s content is not intended for distribution to, or use by, any person or entity in any jurisdiction where such distribution or use would be contrary to law or regulation or which would subject UNestor any of UNest’s products or services to any authorization, registration, licensing or notification requirements within any jurisdictions outside those jurisdictions in which UNest and its affiliates are licensed to operate. Violation of any of these restrictions may result in termination of your eligibility to participate in the Referral Program and may deny you any Referrals earned in violation or suspected violation of these restrictions at UNest’s sole discretion.
UNest’s Registration. UNest represents and warrants to you that it is registered with the SEC under the Act as an investment adviser.
Legal and Regulatory History – you represent and warrant to UNest that you are not a person: (A) subject to an SEC order issued under section 203(f) of the Act, or (B) convicted within the previous ten years of any felony or misdemeanor involving conduct described in section 203(e)(2)(A) through (D) of the Act, or (C) who has been found by the SEC to have engaged, or has been convicted of engaging, in any of the conduct specified in paragraphs (1), (5) or (6) of section 203(e) of the Act, or (D) is subject to an order, judgment or decree described in section 203(e)(4) of the Act.
Dispute Resolution, including Pre-Dispute Arbitration Clause All controversies that may arise between you and UNest or between you and the Custodian concerning any subject matter, issue, or circumstance whatsoever (including controversies concerning any account, order, or transaction, or the continuation, performance, interpretation, or breach of this, the other Agreements, or any other agreement between you and UNest or the Custodian, whether entered into or arising before, on, or after the date this account is opened) shall be determined by binding arbitration through the Financial Industry Regulatory Authority (“FINRA”). You acknowledge that judgment upon any arbitration award may be entered in any court of competent jurisdiction. No person shall bring a putative or certified class action to arbitration, nor seek to enforce any pre-dispute arbitration agreement against any person who has initiated in court a putative class action; or who is a member of a putative class who has not opted out of the class with respect to any claims encompassed by the putative class action until: (i) the class certification is denied; or (ii) the class is decertified; or (iii) the customer is excluded from the class by the court. Such forbearance to enforce an agreement to arbitrate shall not constitute a waiver of any rights under this Advisor Agreement except to the extent stated herein.
Termination – you may terminate this Agreement at any time by notifying UNest in writing at support@unestapp.com that you no longer desire to make Referrals or to receive Reward Shares for Referrals. Upon termination, you will no longer be a Referring Client. UNest may terminate this Agreement at any time by notifying you at the email you have provided UNest in connection with your UNest Account. If UNest terminates this Agreement and you have not breached this Agreement, UNest will credit your Account with any Reward Shares you have earned from Referrals in which the Referred Client has, before we notified you that we terminated this Agreement with you, maintained the Initial Shares in the Referred Client’s UNest Account for the Minimum Time.
Miscellaneous – the provisions of the Advisor Agreement, which you, as a Referring Client, have already entered into, shall apply to this Agreement to the same extent as they apply to the Advisor Agreement.

By participating in the UNest Referral Program, you undertake to perform your duties under this Agreement in a manner consistent with this Agreement, any and all of UNest’s instructions to you and the provisions of the Act and the Rules. You agree to seek guidance promptly from UNest if you are in doubt about what the Act or the Rules allow or do not allow you to say or do in connection with Referrals.

2023 UNest Affiliate Promotion

The Reward

Each new UNest Customer who becomes a UNest subscriber and sets up a UNest account using an affiliate partner invitation code in accordance with the eligibility criteria below, will receive $30 into their UNest account. Each new, eligible UNest subscriber signing up with the promotional code, during the promotional period must completely set up their UNest account and each account must be approved by UNest, funded with the minimum account balance, and the funds must remain in the account for 60 days. Reward is subject to availability and may be substituted for a comparable reward.

Eligibility

You are eligible to receive for this reward one time once one (1) new UNest Customer account use an affiliate partner invitation code shared during the promotional period (January 1 2023 – Dec 1 2023) when they sign up for a new UNest subscription, (2) complete an initial $25 investment in an UNest Account from a linked bank account funding source and (3) keep deposited funds in the UNest account for 60 days. The Reward

When a UNest Customer opens a UNest account, makes a deposit of at least $300 per child account and successfully sets up a recurring deposit of at least $5/month per account, during the promotional period (July 14th – July 31st, 2021) in accordance with the eligibility criteria below, the customer will receive a reward of $100 per child account up to two children (maximum reward $200 per UNest customer). UNest May 2021 Gift Link Sweepstakes

OFFICIAL RULES

ELIGIBILITY

The UNest May Gifting Sweepstakes (the “Sweepstakes”) is offered by UNest Advisers, LLC, an SEC registered investment advisor. The Sweepstakes is open to legal residents of the United States, including the District of Columbia and legal territories, but not including Florida and New York, who are at least 18 years of age and the age of majority in their jurisdiction of residence at time of entry. Entrants do not need to have an UNest account to participate. Void where prohibited. Employees of UNest Advisers, LLC (the “Sponsor”), and its parent companies, subsidiaries, affiliates, advertising agencies, public relations agencies, prize suppliers, including any vendors providing services in connection with this Sweepstakes (collectively, the “Sponsor Affiliates”), and employees, agents, directors, officers of Sponsor or any Sponsor Affiliates are not eligible to participate. Associated persons of unaffiliated securities firms (broker-dealers or investment advisors) are not eligible to enter or to win the Sweepstakes. SUBMISSION PERIOD

The Sweepstakes begins on or about 8:00 a.m. Pacific Time on May 1, 2021 and ends on or about 11:59 p.m. Pacific Time on June 30, 2021 (the “Gift Link Period”). There is a limit of referrals per person during the Referral Period.

HOW TO ENTER

To enter, comment with your UNest account ‘gifting link’ on posts from UNest’s official Instagram account that include a “#gifting” tag and include instructions to post your gifting link during the Submission Period. For an Entrant to be eligible for entry in the Sweepstakes, the Entrant must have an account in good standing and post a valid gifting link. Sponsor defines an account in good standing as a verified investment account with a successful investment.

Upon posting of a valid gifting link, the Entrant will receive one (1) Sweepstakes entry.

Entry times will be determined using Sponsor’s computer, which will be the official clock for the Sweepstakes. Each Entrant must comply with applicable and respective website and social media Acceptable Use Policies.

To be eligible for the Sweepstakes, replies/comments must be posted/received before the end of the Submission Period. Submissions generated by, or any use of, script, macro, automatic, programmed, robotic, or like entry methods will be void, and all Entrants using such methods will be disqualified.

Free Mail-In Method of Entry: To enter without completing a reply/comment method of entry, follow these instructions. WINNER SELECTION AND NOTIFICATION

The potential prize winners will be selected in a random drawing within one (1) day of each UNest Instagram post. The Sponsor will notify the potential winners via email. If (i) a potential winner cannot be reached within one (1) day of the first notification attempt; (ii) a potential winner is found to be ineligible or does not comply with these Official Rules; (iii) a potential winner’s prize, prize notification, or required verification documentation is not received or returned as undeliverable; or (iv) a potential winner cannot or does not accept the prize for any reason, the potential winner will be disqualified and an alternate potential winner will be selected from the remaining eligible entries for the applicable drawing. Sponsor, in its sole discretion, will attempt to contact up to two (2) potential winners of a prize in accordance with the above procedure, within 30 days, after which the prize in question may go unawarded if it remains unclaimed.

Once a potential winner has responded to the notification, the potential winner may be sent additional verification documentation including, if applicable, an Affidavit of Eligibility and Liability, and where permissible, a Publicity Release via email, postal mail and/or express mail at Sponsor’s sole discretion.

PRIZES

Multiple winners will be randomly selected throughout the duration of the Sweepstakes. A winner will be chosen for each Instagram post. Winners will win:

(i) a random cash prize deposited into their UNest Gifting Account (not their UNest Investment Account). Cash prizes will be awarded in random denominations until a total of $500 has been awarded in the aggregate. There will be an unknown number of winners until the Sweepstakes has concluded.

Each Entrant is eligible to win a maximum of one (1) Prize. Rewards are in the form of a cash contribution in your UNest gifting account (not your UNest Investment Account), unless your entry was a mail-in entry. If your entry was a mail-in entry and you win a Prize, the reward will consist of a check in the amount of your Prize. Prizes are awarded “as is” with no warranty or guarantee, either express or implied. Winner agrees to comply with all applicable terms, restrictions and regulations in connection with the Prize.

All details of Prizes will be determined by Sponsor in its sole discretion. Winners are not entitled to exchange or transfer Prizes or to obtain other substitutes, except Sponsor reserves the right to substitute prize(s) or portions thereof of equal or greater value if the Prizes listed or any portion thereof is unavailable for any reason. Except where prohibited by law, the winner is solely responsible for all other costs and expenses. Except where prohibited by law, by accepting a Prize, winner grants Sponsor and its designees permission to use their name, voice, Prize information, biographical data, and city and state of residence on a winner’s list (if applicable) and for programming, publicity, and promotional purposes (including without limitation, posting such winner’s name on Sponsor’s social media channels), worldwide in all forms of media now known or hereafter developed, in perpetuity, without further compensation unless prohibited by law. RELEASE OF LIABILITY & INDEMNIFICATION

Participants agree to these Official Rules and the decisions of the Sponsor. ELIGIBILITY: Open only to legal residents of the fifty (50) United States and the District of Columbia who are of eligible age to participate in their jurisdiction and 18 years of age or older. Void where prohibited. Employees (and their immediate families (parent, child, spouse or sibling and their respective spouses, regardless of where they reside) and those living in their same households, whether or not related) of UNest Holdings Incorporated (“Sponsor”), and its respective parents, affiliates, subsidiaries and advertising and promotion agencies are not eligible to enter or win. By participating, entrants agree to be bound by these Official Rules and the decisions of the judges and/or Sponsor, which are binding and final on matters relating to this contest. Contest is subject to all applicable federal, state and local laws.
THE ENTRY PERIOD: Contest begins at 11:00 a.m. Pacific Time (“PT”) on April 1, 2021 and ending at 11:59 p.m. PT on April 30, 2021 (the “Entry Period”).
TO ENTER: You must have an active UNest investment account in good standing. You must have an active TikTok and/or Instagram account and post a video about UNest and/or financial literacy using the #UNestApp tag (“Video”). All Videos must be posted by 11:59 p.m. PT on April 30, 2021 be eligible. Entries generated by script, macro or other automated means or means which subvert the entry process will be void. All entries become the property of Sponsor and will not be acknowledged or returned.
DRAWING: Potential winner will be the person to have the most likes on their posted Video at the end of the Entry Period. Odds of winning depend on the number of eligible entries received.
WINNER NOTIFICATION: Potential winner will be notified by TikTok or Instagram direct message. Potential winner may be required to execute and return an affidavit of eligibility, a liability release and, where lawful, a publicity release within seven (7) days of date of issuance. If such documents are not returned within the specified time period, a prize or prize notification is returned as undeliverable, Sponsor is unable to contact a potential winner or a potential winner is not in compliance with these Official Rules, prize will be forfeited and, at Sponsor’s sole discretion, an alternate winner selected. It is a potential winner’s responsibility to set his/her Social Media Account as applicable, to accept contacts by Sponsor and to timely check such account for any Sponsor direct messages.
PRIZES: PRIZE 1 – A $5,000 investment will be deposited in the winner’s UNest investment account. The $5,000 will be used by UNest Advisers, LLC to purchase investment exchange traded fund shares on Winner’s behalf through Clearing Broker in the amounts and types that correspond to Winner’s selected UNest investment portfolio type.
Prizes are in the form of an investment and are awarded “as is” with no warranty or guarantee, either express or implied by Sponsor. Winners may not substitute, assign or transfer prize or redeem prize for cash, but Sponsor reserves the right, at its sole discretion, to substitute prize (or portion thereof) with one of comparable or greater value. Winners are responsible for all applicable federal, state and local taxes, if any, as well as any other costs and expenses associated with prize acceptance and use not specified herein as being provided. All prize details are at Sponsor’s sole discretion. Please note that all investments are subject to risk including loss of principal.
GENERAL CONDITIONS: Released Parties (as defined below) are not responsible for lost, late, incomplete, inaccurate, stolen, misdirected, undelivered, garbled, or illegible entries; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the contest, including, without limitation, errors or difficulties which may occur in connection with the administration of the contest, the processing of entries, the announcement of the prizes or in any contest-related materials. Should any portion of the contest be, in Sponsor’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of entries, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the contest and, if terminated, at its discretion, select the potential winners from all eligible, non-suspect entries received prior to action taken or as otherwise deemed fair and appropriate by Sponsor. Entrants, by participating, agree that Sponsor and its respective parents, affiliates, subsidiaries and advertising and promotion agencies and all of their respective officers, directors, employees, representatives and agents (collectively, “Released Parties”) will have no liability whatsoever for, and shall be held harmless by entrants against, any liability, for any injuries, losses or damages of any kind, including death, to persons, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize or participation in this contest. OFFICIAL RULES

No purchase necessary to enter to win. A purchase will not increase your chances of winning. THIS SWEEPSTAKES IS VOID IN FLORIDA, NEW YORK, AND WHERE PROHIBITED BY LAW. Do not proceed in this promotion if you are not a legal resident of the United States. Internet access is required. Neither Facebook nor Instagram are sponsors of this promotion.
ELIGIBILITY
The UNest April Referral Sweepstakes (the “Sweepstakes”) is offered by UNest Advisers, LLC, an SEC registered investment advisor. The Sweepstakes is open to legal residents of the United States, including the District of Columbia and legal territories, but not including Florida and New York, who are at least 18 years of age and the age of majority in their jurisdiction of residence at time of entry. Entrants do not need to have an UNest account to participate. Void where prohibited. Employees of UNest Advisers, LLC (the “Sponsor”), and its parent companies, subsidiaries, affiliates, advertising agencies, public relations agencies, prize suppliers, including any vendors providing services in connection with this Sweepstakes (collectively, the “Sponsor Affiliates”), and employees, agents, directors, officers of Sponsor or any Sponsor Affiliates are not eligible to participate. Associated persons of unaffiliated securities firms (broker-dealers or investment advisors) are not eligible to enter or to win the Sweepstakes. The Sweepstakes is subject to all applicable federal, state, and local laws.
SUBMISSION PERIOD
The Sweepstakes begins on or about 8:00 a.m. Pacific Time on April 1, 2021 and ends on or about 11:59 p.m. Pacific Time on April 30, 2021 (the “Referral Period”). There is no limit of referrals per person during the Referral Period.
HOW TO ENTER
Referral Entry: To enter, refer friends to UNest during the Referral Period. For a referral to be eligible for entry in the Sweepstakes, the persons you refer must use your personal invitation code when they sign up. Friends must sign up on or after April 1, 2021 and have an account in good standing and make their first investment by April 30, 2021. Sponsor defines an account in good standing as a verified investment account with a successful investment.
Upon completion of the referral process, the registered referrer (the “Entrant”) will receive one (1) Sweepstakes entry per referral. Referrals who close their account before May 9, 2021, or make an investment that results in a reversal from their bank, will not qualify as an entry in the Sweepstakes.
Entry times will be determined using Sponsor’s computer, which will be the official clock for the Sweepstakes. Each Entrant must comply with applicable and respective website and social media Acceptable Use Policies.
To be eligible for the Sweepstakes, referrals must be received before the end of the Referral Period. Referrals generated by, or any use of, script, macro, automatic, programmed, robotic, or like entry methods will void, and all Entrants using such methods will be disqualified. Incomplete referrals, including but not limited to those referrals that do not address the requirements set forth in these Official Rules, will not be eligible. Referrals made by any means which subvert the participation process will be void in Sponsor’s sole discretion.
Free Mail-In Method of Entry: To enter without completing a referral method of entry, follow these instructions. On a 3″x5″ card, hand print your full name, complete home address including zip code, home telephone number with area code, e-mail address (if available), and mail the card in an envelope with sufficient first class postage to: Referral Sweepstakes, 5161 Lankershim Blvd., Suite 250, North Hollywood, CA 91601. Limit one (1) mail-in entry per envelope. No photocopies, facsimiles or mechanical reproductions of cards permitted. No metered mail will be accepted. Mail-in entries must be postmarked by April 22, 2021 and received by April 30, 2021.
Sponsor is not responsible for lost, late, illegible, stolen, incomplete, invalid, unintelligible, misdirected, technically corrupted or garbled entries, which will be disqualified, or for problems of any kind whether mechanical, human or electronic. Proof of sending does not constitute proof of actual receipt by Sponsor for purposes of these Official Rules. Sponsor reserves the right, in its sole and absolute discretion, to disqualify and reject any entries that are inappropriate for any reason.
WINNER SELECTION AND NOTIFICATION
The potential prize winners will be selected in random drawing on or around May 1, 2021. The Sponsor will notify the potential winners via email. If (i) a potential winner cannot be reached within one (1) day of the first notification attempt; (ii) a potential winner is found to be ineligible or does not comply with these Official Rules; (iii) a potential winner’s prize, prize notification, or required verification documentation is not received or returned as undeliverable; or (iv) a potential winner cannot or does not accept the prize for any reason, the potential winner will be disqualified and an alternate potential winner will be selected from the remaining eligible entries for the applicable drawing. Sponsor, in its sole discretion, will attempt to contact up to two (2) potential winners of a prize in accordance with the above procedure, within 30 days, after which the prize in question may go unawarded if it remains unclaimed.
Once a potential winner has responded to the notification, the potential winner may be sent additional verification documentation including, if applicable, an Affidavit of Eligibility and Liability, and where permissible, a Publicity Release via email, postal mail and/or express mail at Sponsor’s sole discretion.
By entering and/or participating, participants agree:
(i) to be bound by these Official Rules and Sponsor’s Privacy Policy available at: https://unest.co/april_bonus/
(ii) that the decisions of the Sponsor are final and binding on all matters relating to the Sweepstakes;
(iii) to be contacted by Sponsor by direct message, e-mail, telephone and/or mail; and
(iv) to release and hold harmless Sponsor and the Released Parties (defined below) from and against any and all liability for injuries and/or damages (including death) sustained in connection with acceptance, possession, use and/or misuse of the prize or related to participation in the Sweepstakes.
PRIZES
Eleven (11) winners will be randomly selected on or around May 1, 2021 to win one of two prizes:
(i) One (1) winner will receive a ten thousand dollar ($10,000) reward; and
(ii) ten (10) winners will receive a one thousand dollar ($1,000) reward (each, a “Prize”).
Each Entrant is eligible to win a maximum of one (1) Prize. Rewards are in the form of a purchase of investments in your UNest portfolio, unless your entry was a mail-in entry. If your entry was a mail-in entry and you win a Prize, the reward will consist of a check in the amount of your Prize. Prizes are awarded “as is” with no warranty or guarantee, either express or implied. Winner agrees to comply with all applicable terms, restrictions and regulations in connection with the Prize.
All details of Prizes will be determined by Sponsor in its sole discretion. Winners are not entitled to exchange or transfer Prizes or to obtain other substitutes, except Sponsor reserves the right to substitute prize(s) or portions thereof of equal or greater value if the Prizes listed or any portion thereof is unavailable for any reason. Except where prohibited by law, the winner is solely responsible for all other costs and expenses. All federal, state and local taxes associated with the receipt or use of any Prize are solely the responsibility of the winner.
Odds of winning the prizes depend on the total number of eligible entries received during the Submission Period.
PUBLICITY & MARKETING
Submission of contact information in connection with this Sweepstakes (whether or not required), including without limitation mailing address, phone number, email address, constitutes permission for Sponsor to use participant’s personal information for purposes of administration of the Sweepstakes.
Except where prohibited by law, by accepting a Prize, winner grants Sponsor and its designees permission to use their name, voice, Prize information, biographical data, and city and state of residence on a winner’s list (if applicable) and for programming, publicity, and promotional purposes (including without limitation, posting such winner’s name on Sponsor’s social media channels), worldwide in all forms of media now known or hereafter developed, in perpetuity, without further compensation unless prohibited by law. Sponsor and its designees are not obligated to use any of the above mentioned information or materials, but may do so and may edit such information or materials, at Sponsor’s sole discretion, without further obligation or compensation.
RELEASE OF LIABILITY & INDEMNIFICATION
Participants agree to these Official Rules and the decisions of the Sponsor. Participants release and hold harmless each of Sponsor, Sponsor Affiliates, Facebook, Inc., and their respective directors, officers, employees, agents and assigns, (the “Released Parties”) from and against any and all claims and liability and failures of any kind (whether caused by computer, technical, or human error) which may either limit the participant’s ability to refer a friend, claim a Prize, or otherwise participate in this Sweepstakes, or a Released Party’s ability to include all eligible entries, judging, notify potential winners, or otherwise execute this Sweepstakes in the manner intended. Participants further release and hold harmless the Released Parties from all liability, claims or actions of any kind for injuries, death, damages, or losses to persons or property alleged to have been sustained in connection with this Sweepstakes including, but not limited to: (i) the receipt, ownership or use of any prize awarded; (ii) unauthorized human intervention in any part of the entry process or the Sweepstakes; (iii) electronic or human error in the administration of the Sweepstakes or the processing of entries; (iv) any typographical or other error in these Official Rules or any other materials disseminated by Sponsor; and (v) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with any equipment, systems, networks, lines, satellites, servers, computers, or providers used by an participant or Released Party.
OTHER TERMS
Decisions of Sponsor on all matters related to the Sweepstakes are final. Sponsor reserves the right to cancel or modify the Sweepstakes for any reason, including but not limited to, if fraud, misconduct or technical failures destroy the integrity of the Sweepstakes, or if a computer virus, bug, or other technical problem corrupts the administration, security, or proper administration of the Sweepstakes as determined by Sponsor, in its sole discretion. Sponsor reserves the right to disqualify or prohibit the participation of an individual if fraud or tampering is suspected, or if the individual fails to comply with any requirement of participation or with any provision in these Official Rules.

GOVERNING LAW
This Sweepstakes shall be governed by and interpreted under the laws of the State of California without regard to its conflicts of laws provisions. Except where prohibited, participants agree that any and all disputes, claims, and causes of action arising out of, or connected with the Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action. By participating, participants agree that any and all disputes arising out of or relating in any way to this Sweepstakes shall be litigated only in State and Federal courts sitting in Irvine, California.
SEVERABILITY
If any provision(s) of these Official Rules are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect.
